Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") govern access to and use of the CoachKrew website, web application, mobile application, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service as an individual coach, staff member, athlete, parent, guardian, or other individual user, these Terms apply to you personally for your use of the Service.

If you create a team, invite users, or administer a workspace on behalf of a school, club, athletic program, or other organization, you represent that you have authority to bind that organization to these Terms for that organization's use of the Service, and that organization is also responsible for its use of the Service.

If you are invited to join a team as an athlete, your acceptance applies to your own use of the Service and does not, by itself, bind a school, club, or other organization unless you are separately authorized to do so.

CoachKrew is currently intended for users who are 13 years of age or older. If you are under 13, you may not currently create or activate a CoachKrew account. If you are 13 or older but are not legally able to enter into these Terms independently, you may use the Service only with authorization from a parent, guardian, school, organization, or other authorized party where required by applicable law.

2. The CoachKrew Service

CoachKrew is a team-management platform that helps coaches, schools, clubs, athletic programs, and athletes organize team operations. Depending on role, team configuration, platform, and product availability, the Service may include features such as rosters, schedules and calendar events, attendance, announcements, playbooks, performance tracking, depth charts, notifications, team organization tools, and related team-management functionality.

CoachKrew may operate a public marketing website in addition to authenticated web and mobile applications. Features available on marketing pages, in the web application, and in the mobile applications may differ.

3. Eligibility and Authority

Users must provide accurate account information and keep it reasonably up to date. Coaches or administrators who create teams represent that they have authority to do so. Users may invite or add only people they are authorized to include on a team.

Organizational representatives represent that they have authority to act for their organization where applicable. CoachKrew does not independently verify every user's authority, school affiliation, parental status, or institutional approval.

Users must comply with applicable age requirements and must not provide false age information or attempt to circumvent age-based eligibility requirements.

4. Accounts and Security

Users must protect login credentials, keep account information accurate, and promptly report suspected unauthorized access. Subject to applicable law, users are responsible for activity under their accounts.

Authentication credentials and sessions are managed through CoachKrew's authentication service provider. Users must not share credentials or permit unauthorized persons to access their accounts.

CoachKrew may suspend, restrict, or terminate access when reasonably necessary to protect users, teams, schools, organizations, CoachKrew, or the Service.

5. Team Administration, Roles, and Ownership

CoachKrew supports Head Coach, Assistant Coach, and Athlete roles within team workspaces.

Head Coaches generally manage the team, including staff, athletes, invitations, permissions, and team content, subject to the product's available controls. Team ownership may be transferred through the Service's ownership-transfer process where available. A Head Coach who owns a team may need to transfer ownership or resolve the team through available deletion controls before certain account-deletion requests can proceed.

Assistant Coaches receive access based on permissions assigned within the team.

Athletes receive a more limited view of team information and content made available to them, which may include schedules, announcements, playbooks and other resources, published depth charts, performance information, and their own profile information.

Access to information may depend on team membership, user role, assigned permissions, content audience, tags or groups, and whether content was assigned to the entire team or selected users.

Organizations and team administrators are responsible for inviting authorized users, assigning appropriate roles and permissions, and reviewing access when responsibilities change. Removing a person from a team may end that person's active access to the team without necessarily deleting every associated historical record.

6. Minors and Student Users

CoachKrew may be used by schools, clubs, athletic programs, and other organizations in connection with student athletes. Schools and organizations remain responsible for determining whether their use of CoachKrew is authorized under FERPA, institutional policy, consent requirements, or another applicable legal basis. CoachKrew retains its own obligations under applicable law. Additional information is available on our Student Privacy page.

CoachKrew is currently intended for users who are 13 years of age or older. Users under 13 may not currently create or activate a CoachKrew account.

CoachKrew may use an age-screening step during athlete onboarding to determine whether a user is eligible to continue with account creation. CoachKrew may ask for a date of birth or other age information for this purpose. Where the product indicates that a date of birth is used only for age screening, CoachKrew does not retain the full date of birth after the age determination.

Users must provide accurate age information and must not attempt to circumvent CoachKrew's age requirements.

If CoachKrew introduces access for children under 13 in the future, additional terms, notices, parental or guardian consent requirements, or other conditions may apply. CoachKrew will update its applicable policies and processes as appropriate before enabling such access.

7. Acceptable Use

Users may not:

• Engage in unlawful activity or use the Service for fraudulent purposes.
• Impersonate another person or misrepresent affiliation with a school, team, or organization.
• Share login credentials or allow unauthorized use of an account.
• Access accounts, data, systems, or content without authorization.
• Circumvent or attempt to circumvent role-based permissions, audience controls, age requirements, or other access restrictions.
• Harass, abuse, threaten, exploit, or endanger others.
• Upload malware, harmful code, or other content intended to interfere with the Service.
• Interfere with the availability, security, or integrity of the Service.
• Conduct security testing, scanning, or probing without CoachKrew's prior written authorization.
• Scrape, harvest, or extract data through automated means without authorization.
• Reverse engineer the Service except where such restriction is prohibited by law.
• Upload or share content without sufficient rights or authority, including content that infringes intellectual property or privacy rights.
• Expose student or child information to unauthorized persons or otherwise misuse student information.
• Use the Service for targeted advertising or commercial exploitation of student data.
• Use CoachKrew as an emergency-response, medical, legal, or crisis-monitoring service.
• Export or transfer information in violation of applicable export, privacy, or data-protection laws.

8. User and Organization Content

Users, teams, schools, and organizations retain their applicable rights in the information and content they submit to CoachKrew. CoachKrew does not claim ownership of customer-submitted personal information or team content.

By submitting information or content, the applicable user or organization grants CoachKrew a limited license to host, store, reproduce, display, transmit, process, back up, secure, support, maintain, and operate that content only as reasonably necessary to provide the Service and meet applicable legal obligations.

This license is not a broad marketing license over private team or student content. CoachKrew does not receive rights to freely use identifiable student content for unrelated purposes. Where CoachKrew uses information to improve platform functionality, that use is limited to operating and improving the Service and may include aggregated or de-identified operational information where appropriate.

Users represent that they have the required rights and authority to submit the content they provide and that their content does not violate applicable law or these Terms.

9. CoachKrew Intellectual Property

The CoachKrew Service, including its software, source code, design, interface, graphics, logos, trademarks, branding, documentation, and other original materials, belongs to Bigham Technologies LLC or its licensors. The Service is licensed, not sold. No ownership interest in CoachKrew intellectual property is transferred to users by these Terms.

Users may not copy, modify, distribute, sell, lease, or create derivative works from CoachKrew intellectual property except as expressly permitted by these Terms or applicable law.

10. Feedback

If you voluntarily provide product feedback or suggestions, CoachKrew may use that feedback without obligation to you. Feedback is distinct from private team or student content stored in a workspace.

11. Communications

CoachKrew may send service-related communications, including invitations, verification emails, password-reset emails, security notices, notifications, reminders, billing or account notices, service announcements, and other operational communications.

Essential service communications are not optional marketing messages. Users cannot opt out of essential service communications while maintaining an account where those communications are necessary to provide, secure, or administer the Service.

Marketing communications, if offered in the future, may be subject to separate consent or opt-out choices where required by law.

12. Subscriptions, Trials, and Billing

Paid CoachKrew subscriptions are billed per team workspace. Current subscription prices and billing periods are displayed on the CoachKrew pricing page and during checkout. The plan, price, and billing period presented at checkout control the purchase.

Athletes are not charged a separate subscription fee. Assistant Coach access is included with the applicable team subscription.

The first eligible team on a Head Coach account may include a 14-day free trial without requiring a payment card. Additional teams do not receive another 14-day trial unless CoachKrew expressly provides otherwise. An additional team generally requires a paid subscription, completed through checkout on the CoachKrew website, before paid access becomes active.

Checkout does not create or extend the free trial unless expressly stated. If you start a paid subscription during a CoachKrew trial, you are charged when checkout is completed. When a trial ends and the applicable team does not have a paid subscription or other valid entitlement, paid access for the team may end.

CoachKrew subscriptions are purchased and managed through CoachKrew's web billing system. Availability of billing or subscription-management controls may differ between the website and mobile applications.

A paid subscription renews automatically at the end of each monthly or annual billing period unless canceled before renewal. Subscriptions may be canceled through the billing controls made available by CoachKrew, including the billing portal on the CoachKrew website where applicable.

Unless otherwise stated, cancellation takes effect at the end of the current paid billing period rather than immediately. The team generally retains paid access through the end of the period already paid for. Canceling a subscription does not, by itself, refund amounts already charged.

Subscription fees are generally non-refundable once charged. Cancellation stops future renewal charges and does not ordinarily refund the current billing period. CoachKrew may review refund requests sent to support@coachkrew.com individually in exceptional circumstances or where a refund is required by law.

A refund, if granted, does not by itself cancel the subscription. Cancellation and refunds are separate. Nothing in this section waives a right that applicable law does not allow to be waived.

If a subscription payment fails, the payment processor may retry the charge. CoachKrew may restrict or end paid access if the subscription is canceled, terminated, or otherwise no longer entitled to paid access under CoachKrew's billing rules.

Web subscription payments are processed by Stripe. CoachKrew does not store full payment card numbers. Stripe's role is described on our Subprocessors page.

Prices are exclusive of taxes, if any, unless otherwise stated. CoachKrew may change subscription prices for future billing periods and will provide reasonable notice before a new price applies to a renewal where required. Notice may be provided through the Service, by email, or by another reasonable method. A price change does not alter a fee already charged for the current billing period except where required by law.

13. Availability and Changes

CoachKrew may maintain, update, improve, modify, suspend, or discontinue features of the Service from time to time, subject to applicable obligations. Maintenance, outages, delays, or interruptions may occur.

CoachKrew does not promise uninterrupted, timely, or error-free service, and availability and functionality may vary across the website, web application, iOS application, and Android application.

14. Third-Party Services

The Service depends on third-party infrastructure providers for functions such as hosting, authentication, database services, file storage, transactional email delivery, payment processing for web subscriptions, and mobile push-notification delivery where configured.

Those providers may have separate terms and privacy practices. A current list of service providers used to operate CoachKrew is available on our Subprocessors page.

CoachKrew is not responsible for third-party sites or services that are outside CoachKrew's control, except to the extent required by applicable law.

15. Mobile Applications and App Stores

CoachKrew may make mobile applications available through third-party application marketplaces, including Apple's App Store and Google Play.

If you download or access CoachKrew through an application marketplace, your use of that marketplace may also be subject to the marketplace provider's applicable terms and policies.

These Terms govern your relationship with CoachKrew regarding the CoachKrew Service. Apple, Google, and other application marketplace providers are not parties to these Terms merely because they distribute the CoachKrew application, except to the extent otherwise provided by their applicable terms or required by law.

Application marketplace providers are not responsible for operating or supporting the CoachKrew Service except for responsibilities they may have under their own terms, policies, or applicable law.

Features, account-creation options, subscription-management controls, and other functionality may differ between CoachKrew's website and its mobile applications.

16. Suspension, Termination, Team Removal, and Deletion

CoachKrew may suspend or terminate access to the Service for violations of these Terms, security risks, unlawful conduct, requests from an authorized organization that controls a team, discontinuation of the Service, or nonpayment or termination of applicable subscription fees or entitlements.

Team removal is different from account suspension or termination. Removing a user from a team may end that user's active access to the affected workspace without deleting every associated historical record.

Account deletion and permanent team deletion, where available in the product, are governed by the Service's deletion controls and our Privacy Policy. Account and team deletion requests may begin a recovery or cancellation period before permanent deletion begins.

A Head Coach who owns a team may be required to resolve ownership of that team, including through available ownership-transfer or team-deletion controls, before permanent account deletion can proceed.

CoachKrew does not promise immediate deletion of every record. Some backups, logs, transaction records, security records, or information required to be retained by law may remain for a limited period as described in the Privacy Policy.

17. Disclaimers

To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis.

CoachKrew is not an emergency service, medical provider, legal advisor, student-safety monitoring service, or substitute for professional medical, legal, or safeguarding advice.

CoachKrew does not guarantee athletic performance outcomes, playing time, eligibility determinations, scholarships, recruiting results, or coaching decisions.

CoachKrew is not a guaranteed official educational-records system. Users should not rely on CoachKrew for medical diagnosis, treatment, emergency decisions, safeguarding determinations, or official academic determinations, even though the platform may store information such as performance measurements, height, weight, attendance, schedules, or other team information.

Nothing in these Terms is intended to exclude or limit rights or remedies that cannot be excluded or limited under applicable consumer or other law.

18. Limitation of Liability

To the fullest extent permitted by applicable law, CoachKrew and Bigham Technologies LLC are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to use of or inability to use the Service.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, these limitations apply only to the extent permitted by applicable law.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

19. User and Organization Responsibility

Subject to applicable law, users and organizations are responsible for their unlawful use of the Service; content they submit without authority; infringement of intellectual property or privacy rights; misuse of student or child information; circumvention of permissions or access controls; and other material violations of these Terms that cause harm to CoachKrew or others.

CoachKrew may investigate suspected violations and take action it reasonably considers appropriate, including suspending access, restricting functionality, removing content, or contacting an organization that controls the relevant workspace.

These Terms do not create a separate contractual indemnification obligation beyond the responsibilities described in this section.

20. Governing Law and Disputes

These Terms are governed by applicable law.

Nothing in these Terms requires arbitration or waives any right to bring or participate in a proceeding unless otherwise agreed in writing or permitted by applicable law.

Nothing in this section limits rights or remedies that cannot be limited under applicable law.

21. Electronic Communications and Notices

You consent to receive agreements, notices, disclosures, and other communications electronically, including through the Service or the email address associated with your account, to the extent permitted by applicable law.

Notices to CoachKrew regarding these Terms may be sent to support@coachkrew.com unless CoachKrew designates another notice method.

22. Force Majeure

CoachKrew is not responsible for delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failures of utilities, hosting providers, communications networks, or other events beyond CoachKrew's reasonable control.

23. Assignment

Users may not assign or transfer these Terms or their rights under them without CoachKrew's prior written consent.

CoachKrew may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or transfer to an affiliate, subject to applicable law.

These Terms bind permitted successors and assigns.

24. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid or unenforceable provision will be interpreted or modified to accomplish its intended purpose to the maximum extent permitted by law.

A failure by CoachKrew to enforce any provision of these Terms is not a waiver of that provision or of the right to enforce it later.

25. Entire Agreement and Survival

These Terms, together with the Privacy Policy and any additional terms presented for a specific feature or purchase, constitute the entire agreement between you and CoachKrew regarding the Service and supersede prior or contemporaneous agreements on that subject.

Paid subscriptions are governed by Section 12. The price and billing period presented at checkout control the applicable purchase.

Provisions that by their nature should survive termination, including intellectual-property ownership, disclaimers, limitations of liability, user responsibility, dispute provisions, and this survival clause, will survive termination or expiration of these Terms to the extent permitted by law.

26. Changes to these Terms

CoachKrew may update these Terms from time to time. When we do, we will revise the "Last updated" date on this page.

Material changes may also be communicated through the website, the application, email, or another reasonable method.

Continued use of the Service after updated Terms become effective constitutes acceptance where permitted by applicable law.

27. CoachKrew Operator and Contact

CoachKrew is operated by Bigham Technologies LLC.
